As a Cooperative, we adhere to the 7 Cooperative Principles, the second of which is Democratic Member Control -- Cooperatives are democratic organizations controlled by their members, who actively participate in setting policies and making decisions. The elected representatives are accountable to the membership. In primary cooperatives, members have equal voting rights (one member, one vote) and cooperatives at other levels are organized in a democratic manner.

 

The Articles of Incorporation are the primary rules governing the management of the Cooperative and are filed with the State of Minnesota.

The Bylaws are adopted by the member-owners for the governing, regulation and accountability of cooperative affairs.

These bylaws may be altered, amended or repealed by the members at any annual or special member's meeting, provided that notice of such meeting shall have contained a copy of the proposed alteration, amendment, or repeal; provided further that Article I, Section 9(a) (relating to one member-one vote); Article VII (relating to sale of property) and Article VIII (relative to amendments) of the bylaws may be altered, amended or repealed by the affirmative vote of not less than two-thirds (2/3) of all of the members of the Cooperative.
